1. Acceptance of Terms

By accessing or using the Paper Lampshade website, mobile application, or any related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, do not use the Service. We reserve the right to update these Terms at any time; continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

2. Account Responsibility

You are solely responsible for all activity that occurs under your account. This includes, but is not limited to:

• Keeping your login credentials confidential and not sharing them with anyone.
• All content you post, upload, schedule, or otherwise transmit through the Service — including images, videos, captions, and hashtags published to third-party platforms such as TikTok, Facebook, or Instagram via our social media automation features.
• Ensuring that any content you submit complies with these Terms and all applicable laws.

If you believe your account has been compromised, notify us immediately at info@paperlampshade.com. Paper Lampshade is not liable for any loss or damage arising from your failure to maintain the security of your account.

3. Intellectual Property

All content and materials available through the Service — including but not limited to lampshade designs, product photographs, branding, logos, trademarks, app code, and the overall look and feel of the platform — are the exclusive intellectual property of Paper Lampshade or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any of our intellectual property without our prior written consent.

When you upload content (such as product photos or videos) to the Service, you retain ownership of that content but grant Paper Lampshade a non-exclusive, royalty-free licence to use, store, and display it solely for the purpose of operating and improving the Service.

5. Social Media Automation & Third-Party Platforms

The Service includes features that allow you to schedule and automatically publish content — including images, Reels, and videos — to third-party social media platforms such as TikTok, Facebook, and Instagram (“Third-Party Platforms”) using their official APIs.

By using these features you acknowledge and agree that:

• Platform availability: Paper Lampshade has no control over Third-Party Platforms. We are not responsible for downtime, outages, API changes, rate limits, or any other disruption caused by those platforms. If a scheduled post fails to publish due to a platform outage or API change, we will make reasonable efforts to notify you but bear no liability for the failure.
• Content moderation by platforms: Third-Party Platforms may at their sole discretion remove, limit the reach of, or take other action against content posted through our Service. Paper Lampshade is not responsible for any shadowbanning, demotion, removal, or account restrictions imposed by Third-Party Platforms on your accounts or content.
• Platform Terms: Your use of the social media automation features is also governed by the terms of service and community guidelines of each Third-Party Platform. You are solely responsible for ensuring your content and posting activity comply with those terms.
• Connected accounts: You authorise Paper Lampshade to access your Third-Party Platform accounts only to the extent necessary to publish content on your behalf. You can revoke this access at any time through the relevant platform’s settings.

Paper Lampshade is not affiliated with, endorsed by, or sponsored by TikTok, Facebook, Instagram, or their parent companies.

6. Prohibited Content & Conduct

You agree not to use the Service — including the social media automation features — to post, upload, schedule, or transmit any content that:

• Is illegal, defamatory, harassing, abusive, threatening, obscene, or otherwise objectionable.
• Infringes the copyright, trademark, trade secret, or other intellectual property rights of any third party. You must have full rights to any music, images, video clips, or other creative material included in content you post.
• Violates the privacy rights of any individual, including unauthorised use of someone’s name, likeness, or personal information.
• Constitutes spam, unsolicited commercial communications, or misleading advertising.
• Contains malware, viruses, or any code designed to disrupt, damage, or gain unauthorised access to any system.
• Violates any applicable local, national, or international law or regulation.

We reserve the right to remove any content that violates these Terms and to suspend or terminate the accounts of repeat offenders without notice.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

To the fullest extent permitted by law, Paper Lampshade and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or business — arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of Denmark, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms.
